Who we are
Bons & Frazer Ltd (“we”, “us”, “Bons & Frazer”) is a digital marketing agency registered at 69–75 Thorpe Road, Norwich, NR1 1UA. These terms apply to all services we provide unless a signed agreement with you says otherwise. Where a signed proposal or contract conflicts with these terms, that document takes precedence.
Our services
We provide paid media management (Google Ads, Meta Ads, Microsoft Ads and equivalent platforms), conversion tracking and measurement, landing page and conversion work, SEO and content, and related consultancy. The specific services covered by your engagement are set out in your proposal or scope of work.
Fees and payment
We work on two commercial models:
- Monthly retainer — ongoing management billed as a fixed monthly fee, starting from £995 per month. The exact fee is set out in your proposal and depends on scope and media spend.
- Day rate — all work carried out outside an agreed retainer scope is charged at our standard day rate of £500 per day. This covers one‑off projects, audits, consultancy, training, tracking and measurement builds, and any additional work requested beyond the agreed monthly scope.
A day is defined as up to eight working hours. Where work outside scope is requested, we will confirm the estimated number of days in writing before starting. Additional days beyond an agreed estimate are only charged with your prior approval.
All fees are exclusive of VAT, which is added where applicable. Retainer fees are invoiced monthly in advance. Project and day‑rate work is invoiced on completion, or monthly in arrears for engagements running longer than one month. Invoices are payable within 14 days of the invoice date. We reserve the right to pause work on accounts with invoices overdue by more than 14 days.
Advertising spend is separate from our fees. Media budgets are paid by you directly to the advertising platform on your own billing details. We do not mark up, resell or fund advertising spend.
Term and cancellation
We do not use lock‑in contracts. Retainer engagements run month to month and either party may cancel by giving 30 days’ written notice. Fees for the notice period remain payable, and we will complete the work in scope during that period. Fees already paid for a completed month are non‑refundable.
Your responsibilities
To deliver the work we need you to provide timely access to the relevant advertising, analytics and website accounts, accurate information about your business and offers, and prompt feedback or approvals where they are required. You remain the owner of your advertising accounts, ad spend and data. Delays in access, approvals or materials may affect delivery timelines and do not reduce the fees due.
Ownership and intellectual property
On full payment of the relevant invoices, you own the campaigns, ad creative, copy and tracking configurations we build specifically for you within your own accounts. We retain ownership of our own frameworks, templates, internal tooling and methodologies, and may reuse them for other clients. We may reference your business as a client and describe results in anonymised or named case studies unless you tell us in writing not to.
Confidentiality
Each party will keep the other’s confidential business information private and use it only for the purpose of the engagement. This obligation continues after the engagement ends.
Results
We manage campaigns to agreed performance targets and report honestly against them, but advertising performance depends on factors outside our control — platform algorithm changes, auction competition, seasonality, your pricing and offer, your sales process, and market conditions. We do not guarantee specific rankings, lead volumes, revenue or return on ad spend, and no forecast or projection we provide should be treated as a guarantee.
Third‑party platforms
Our services depend on third‑party platforms including Google, Meta, Microsoft and analytics and hosting providers. We are not responsible for outages, policy changes, account suspensions or data loss caused by those platforms, though we will work with you to resolve them.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud. Subject to that, our total liability arising from the engagement is limited to the fees paid by you to us in the three months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, including loss of profit, revenue or anticipated savings.
Changes to these terms
We may update these terms from time to time. The date at the top of this page reflects the most recent revision. Material changes affecting an active engagement will be notified to you in writing.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
